SOCIETY OF LIMITED RESPONSIBILITY (SRL)

A limited liability company is an organization in where the participation of the partners is divided in equal quotas by value of thousand (1.000) guaranties ones or its multiple. The amount of partners will not be able to exceed of twenty and five (25), and respond before the social obligations single until the value of its contributions.

The social denomination must contain the terms Society of Limited Responsibility or abbreviation S.R.L.. Its omission will shared in common make limitless person in charge and to the manager by the acts who celebrates in those conditions.

The limited liability company will not be able to make banking operations, of insurance, capitalization and saving, nor those for which the law demands another form of society.

Particular requirements for Opening

  1. Scripture of contribution constitution and capital
    The constituent act will have to contain:

    1. Name, address and nationality of the partners;
    2. Denomination of the society, address and term of duration of the contract;
    3. Specific designation of the branch or branches of the commerce or industry that constitute the object of the society; amount of the capital and quotas corresponding to each
    4. one of the partners, in money or species; time and mode of payment; value attributed to the antecedent goods that are not money and that justifies the estimation.
    5. Name, nationality and address of the manager or managers designated in the constituent act;
    6. Form of administration and control of the society; Bases for the preparation of the annual balance for the calculation, distribution and opposition of the utilities and the losses;
    7. Bases for the preparation of the annual balance for calculate, distribution and opposition of the utilities and the lost ones.
    8. Bases for the liquidation of the society and partition of the utilities.
    The society will not be able to constitute itself until the integration of 50% like minimum of the contributions in money. Its fulfillment will be credited with the document of deposit in the BCP.
  2. Inscription in the registries public

    1. Inscription in the Public Registry of Commerce and the Public Registry of Legal People
    2. Inscription in the Matriculation of the Retailer
  3. Inscription in the Direction of Support of the Ministry of Property(RUC)
    To fill the forms:

    401 - Request of Inscription of Legal People, signed by a registered Accountant (with RUC) and the Legal Representative.
    416 - Annexed Form for Location of Address
    To present/display Photocopies of:

    1. Scripture de Constitución of Society or Statute (Authenticated by Notary public)
    2. Inscription in the Public Registry of Commerce.
    3. Inscription in the Registry of Legal People.
    4. Deposit slip of the capital in the BCP.
    5. Paraguayan Identity card or Certificate of Migration of the partners.
    6. Receipt of publications in the Official Newspaper and another newspaper.
    7. Ticket of payment of Real estate Tax or Contract of Rent of
