JOINT-STOCK COMPANY (SA)

The joint-stock companies are organizations in where the quotas of participation of the partners are represented by actions, and the society responds of the social obligations only with its patrimony. The social denomination of any way that is formed must contain the indication of being joint-stock company.

The joint-stock companies acquire legal personality and begin their existence from their inscription in the Registry of Legal People and Associations. They will have to write down in the registry the public writing in which it consists the constituent act, the social statutes, and the designation of the first directory and or of the first receivers.

The creation its operation and its dissolution are regulated by the Paraguayan Civil Code.

1. Scripture of contribution constitution and capital
   The Scripture of constitution will have to contain:
   
   1. Name, nationality, marital status, profession and address of the partners and the number of actions suscriptas by each one of them;
   2. The denomination and the address of the society, and the one of its possible branches, inside or outside the Republic;
   3. The social object;
   4. The amount of the capital signed and integrated;
   5. The nominal value and the number of the actions and if these are nominative or to the carrier;
   6. The value of the goods contributed in species;
   7. The norms according to which the utilities are due to distribute;
   8. The participation in the utilities possibly granted to the promoters or to the partners founders;
   9. The number of the administrators and its powers with indication of which of them they have the representation of the society; and
   10. The duration of the society.
   In order to come to the constitution of a society it is necessary that signed is had entirely the emitted share capital. The Judge of First Instance in the Commercial Civilian and will order the inscription of the society in the corresponding registry after verifying the fulfillment of the conditions settled down by the Law.
    
   
2. Inscription in the registries public
   
   1. Inscription in the Public Registry of Commerce and the Public Registry of Legal People.
   2. Inscription in the Matriculation of the Retailer.
       
      
3. Inscription at the Direccion de Apoyo del Ministerio de Hacienda (RUC)
   To fill the forms:
   401 - Request of Inscription of Legal People, signed by a registered Accountant (with RUC) and the Legal Representative.
   416 - Annexed Form for Location of Address
   To present/display Photocopies of:
1. Scripture de Constitution of Society or Statute (Authenticated by Notary public)
2. Inscription in the Public Registry of Commerce.
3. Inscription in the Registry of Legal People.
4. Ticket of saving of capital at the BCP
5. Paraguayan identity card or Certificate of Migration of the partners.
6. Receipt of authorized newspaper publications.
7. Ticket of payment of Real estate Tax or Contract of Rent of 4, legal address
    
   
4. Sign of Countable Books.
